Terms of Sales
Article 1. Acceptance of Terms:
The customer acknowledges having read, at the time of signing any quotation, the general terms and conditions of sale outlined in this document and declares acceptance of them. These general terms and conditions of sale complement and supersede any other conditions stated in quotations signed by the customer, except for prior written and signed derogations from both parties.
Article 2. Web Design Author Signature:
The client authorizes TALIX DIGITAL to place its signature, its URL, on the websites created, as well as to showcase the work on the talix-digital.com website or any other communication platform.
Article 3. Domain:
TALIX DIGITAL will register the domain name(s) chosen by the client or by TALIX DIGITAL for search engine optimization purposes. The client will become the owner of the reserved domain name once full payment of the quotation has been made. As TALIX DIGITAL acts as an intermediary with registration offices, the general terms and conditions of sale of these offices apply. In case of non-payment of the total quotation or of an annual renewal, the client will no longer be the owner of the unpaid domain name.
Article 4: Service Provider Obligations
TALIX DIGITAL undertakes to: Perform services in accordance with the specifications defined with the Client. Adhere to agreed-upon deadlines. Implement the necessary means to achieve the defined objectives. Adhere to the professional ethics and confidentiality rules applicable to its profession. Regularly communicate with the Client on the progress of the services. Search Engine Optimization: Modification of source code, texts, content aimed at improving the website’s positioning in search engines. This is an obligation of means and not of results for TALIX DIGITAL. As search engine rankings are influenced by external factors (economic crises, market trends, search engine algorithms, etc.), TALIX DIGITAL cannot be held responsible for the outcome.
Article 5. Client Responsibilities:
Communication Deadline: The client agrees to provide TALIX DIGITAL with all necessary information to complete the project. Beyond 7 working days of waiting without communication of the requested elements by TALIX DIGITAL, the creation/delivery deadlines will be revised without holding TALIX DIGITAL responsible. Content: The client is responsible for the content of their site, hypertext links, videos, and graphic creations. The Client agrees to: Provide the information and access necessary for the completion of the services, pay for the services within the agreed-upon deadlines, actively collaborate with the Service Provider by providing the necessary elements for the completion of the services.
Article 6. Quotation:
The order is placed through a quotation prepared by TALIX DIGITAL. The order is considered upon receipt of the dated quotation, signed by the client, and receipt of the specified deposit. The quotation is an integral contractual element of these general terms and conditions. Invoices for subscription renewal services do not require a new quotation.
Article 7. Rates:
Rates are set in both exclusive of taxes (HT) and inclusive of taxes (TTC) and are expressed in Euros. Rates are available upon request from TALIX DIGITAL. The rates for services and options are specified in the quotation. TALIX DIGITAL reserves the right to revise its rates at any time following inflation rates, including ongoing subscriptions.
Article 8. Late Payment and Penalties:
In case of late payment, TALIX DIGITAL reserves the right to issue a formal notice within 30 days, immediate demand for payment of all sums due by the client, a supplementary charge of €40 for collection fees, suspension of all ongoing services, and termination of any contract between the client and TALIX DIGITAL.
Article 9. Service Cancellation:
Cancellation by the client: After the quotation is signed and before the start of the work, TALIX DIGITAL reserves the right to charge 10% of the total amount for the study and preparation. During the execution of the work: TALIX DIGITAL reserves the right to withhold a sum proportional to the work performed and time spent. In any case, the deposit paid upon signing the quotation cannot be subject to a refund request from TALIX DIGITAL. Cancellation by TALIX DIGITAL: Failure to comply with the obligations of these general terms and conditions gives TALIX DIGITAL full rights to cancel ongoing services.
Article 10. Complaints:
Any complaint must be sent by registered mail with acknowledgment of receipt to TALIX DIGITAL within the calendar week following receipt of the invoice. If no complaint is made within this time, the case is considered closed and cannot be subject to late claims or payment suspension.
Article 11. TALIX DIGITAL’s Liability:
TALIX DIGITAL will only be liable to the client for established facts that are exclusively attributable to it and cannot be held responsible for issues such as website content and graphics requested by the client, viruses introduced into the client’s data, software, emails, loss of revenue due to interruption or service failure, as TALIX DIGITAL reserves the right, for technical maintenance, to interrupt services for a short duration.
Article 12. Termination:
Subscriptions offered by TALIX DIGITAL are for a minimum period of 6 months. At the end of this period, subscriptions are automatically renewed indefinitely, unless terminated by either party with a 3-month notice period.
Article 13. Payment Terms:
Subscription invoices are payable by automatic debit on the first day of the relevant period. Payment by bank transfer may be accepted for subscriptions at a rate of €5 exclusive of taxes per transaction. Other invoices are payable by automatic debit or bank transfer.
Article 14. Dispute Resolution:
In the event of a dispute, the parties undertake to seek an amicable solution before resorting to the courts. Any dispute relating to the interpretation or execution of these terms and conditions will be subject to the jurisdiction of the courts of Bordeaux, France.
Article 15. Modification of Terms and Conditions:
The Service Provider may modify these terms and conditions at any time. Changes will be notified to the Client by email and will take effect 2 days after notification.
